Terms of Service

1. Acceptance of Terms
By accessing or using the Minolith platform ("Service"), operated by Third Time Lucky Corp Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will notify you of material changes via email or through the Service dashboard.
2. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials secure and confidential
- Not share your account or API keys with unauthorised parties
- Notify us immediately of any unauthorised use of your account
- Accept responsibility for all activity that occurs under your account
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
3. The Service
Minolith provides persistent project memory for AI coding agents via a hosted API platform. The Service includes:
- Context — a structured knowledge base for persistent agent memory
- Changelog — API-first changelog hosting
- Feedback — structured user feedback collection
- Runbooks — multi-step procedure execution and tracking
- Agents — agent identity, bootstrap, and orchestration
The Service is accessed via a REST API at api.minolith.io, an MCP server at mcp.minolith.io, and a web dashboard at app.minolith.io.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Store or transmit malicious code, malware, or harmful content
- Attempt to gain unauthorised access to the Service or other accounts
- Interfere with or disrupt the Service or its infrastructure
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use the Service to send spam, phishing, or unsolicited communications
- Circumvent rate limits, spending caps, or other usage restrictions
- Resell access to the Service without our written consent
We reserve the right to suspend or terminate accounts that violate this policy.
5. API Usage and Rate Limits
API access is governed by the following limits:
- Rate limit: 100 requests per minute per API key
- Authentication: All API requests require a valid API key via the
Authorization: Bearerheader - Spending caps: You may set spending limits on your account; the Service will reject requests that would exceed your cap
We may adjust rate limits or introduce additional restrictions as needed to maintain service quality. We will provide reasonable notice of changes that materially affect your usage.
6. Credit System and Billing
6.1 Credits
The Service uses a credit system. One credit equals $0.01 USD. Credits are consumed when creating new data in paid services:
- Context — 0 credits (included with every account)
- Changelog — 3 credits per entry
- Feedback — 1 credit per item
- Runbooks — 5 credits per template
- Agents — 3 credits per agent definition
- Storage — 5 credits per MB per month (across all services)
Read operations (listing, filtering, searching, updating, and deleting) are always free. Runbook runs, step advancement, changelog versions, and bootstrap calls do not consume credits.
We may adjust the credit costs of individual services. Any changes will be communicated in advance and reflected on the pricing page.
6.2 Billing
The Service is billed as a $5.00 USD per month base subscription which includes 500 credits. Usage beyond 500 credits is billed as overage at $0.01 per credit on the following month's invoice. Unused credits do not roll over between billing periods. All payments are processed through Stripe. Tax (including GST where applicable) is calculated and collected as required by law via Stripe Tax.
6.3 Free Trial
New accounts receive a 14-day free trial with 500 credits. No payment method is required to start a trial. Unused trial credits expire at the end of the trial period.
6.4 Refunds
Credit consumption is non-refundable. If you believe you have been charged in error, contact us at support@minolith.io and we will investigate.
7. Intellectual Property
7.1 Your Data
You retain full ownership of all data you store in the Service, including context entries, changelog content, feedback items, runbook definitions, and agent definitions. We do not claim any intellectual property rights over your data.
7.2 Our Service
The Service, including its software, design, documentation, and branding, is owned by Third Time Lucky Corp Pty Ltd and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as described herein.
7.3 Feedback on the Service
If you provide suggestions or feedback about the Service itself (not user data stored via the Feedback service), you grant us a non-exclusive, royalty-free, perpetual licence to use that feedback to improve the Service.
8. Data Handling and Deletion
Your data is stored in a multi-tenant environment with strict project-level isolation. No cross-tenant data access is possible.
When you delete data through the API or dashboard, it is permanently removed from our systems immediately (hard delete). Deleted data is not retained and stops being metered for billing purposes.
If you close your account, all associated data will be permanently deleted within 30 days.

9. Service Availability
We aim to provide a reliable, available service, but we do not guarantee any specific uptime percentage or offer a formal Service Level Agreement (SLA). The Service is provided on a best-effort basis.
We may perform maintenance that temporarily affects availability. Where possible, we will provide advance notice of scheduled maintenance.
We are not liable for any downtime, data loss, or service interruption caused by factors outside our reasonable control, including but not limited to hosting provider outages, network issues, or force majeure events.
10. Limitation of Liability
To the maximum extent permitted by law, including the Australian Consumer Law:
- The Service is provided "as is" and "as available" without warranties of any kind, either express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total aggregate liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim
Nothing in these Terms excludes or limits any rights you have under the Australian Consumer Law (or equivalent consumer protection legislation in your jurisdiction) that cannot be excluded or limited by contract.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
You may close your account at any time through the dashboard or by contacting us at support@minolith.io.
We may suspend or terminate your account if:
- You violate these Terms or the Acceptable Use policy
- Your account has been inactive for an extended period
- We are required to do so by law
- We discontinue the Service (with reasonable notice)
Upon termination, your right to access the Service ceases immediately. We will delete your data within 30 days of account closure, unless retention is required by law.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a notice in the dashboard at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not agree with the changes, you may close your account before the new Terms take effect.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Australia.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
